Vendor Terms and Conditions Effective Date: 01 January 2025 These Vendor Terms and Conditions ("Vendor Terms") govern the relationship between WapiBotix ("Platform", "we", "our") and any individual or business entity ("Vendor", "you") who registers to sell, resell, distribute, or provide services through the WapiBotix platform. By registering as a vendor on WapiBotix, you agree to comply with these terms. 1. Vendor Registration To become a vendor on WapiBotix, you must create a vendor account and provide accurate and complete business information. WapiBotix reserves the right to approve, reject, or suspend any vendor application at its discretion. 2. Vendor Responsibilities As a vendor on the WapiBotix platform, you agree to: • Provide accurate information about your business and services. • Comply with all applicable laws and regulations. • Use the platform only for legitimate business purposes. • Provide proper support and communication to your customers. • Ensure that all marketing activities comply with messaging platform policies. 3. Compliance with Messaging Platforms Vendors using WapiBotix for WhatsApp or messaging automation must comply with all applicable policies of messaging platforms such as WhatsApp Business policies and anti-spam regulations. WapiBotix will not be responsible for violations caused by vendors or their clients. 4. Vendor Services and Offerings Vendors may offer services such as: • WhatsApp marketing services • Automation setup and chatbot services • Messaging campaign management • Customer communication solutions WapiBotix reserves the right to review, modify, or remove vendor listings that violate platform policies. 5. Payments and Fees Vendors may be required to pay subscription fees, commission charges, or service fees depending on the selected vendor plan. All payments must be made according to the billing terms defined by WapiBotix. Unless otherwise specified, payments are non-refundable. 6. Customer Relationship Vendors are responsible for managing their own customers and ensuring service delivery. WapiBotix acts as a technology platform and is not responsible for agreements between vendors and their clients. 7. Prohibited Activities Vendors must not use WapiBotix for: • Sending spam or unsolicited messages • Fraudulent or deceptive marketing • Harassment, abuse, or illegal communication • Activities that damage the reputation or operation of WapiBotix Violation may result in immediate suspension or termination of vendor access. 8. Intellectual Property Vendors retain ownership of their own business materials and branding. However, by using the WapiBotix platform, you grant us a limited license to display your business name, logo, and services for promotional purposes. 9. Account Suspension or Termination WapiBotix reserves the right to suspend or terminate vendor accounts that: • Violate these Vendor Terms • Misuse the platform • Engage in spam or illegal activities • Harm the platform, other vendors, or users 10. Limitation of Liability WapiBotix shall not be responsible for any indirect, incidental, or consequential damages arising from vendor activities or third-party service usage. 11. Changes to Vendor Terms WapiBotix may update these Vendor Terms periodically. The latest version will always be available on the website. Continued use of the platform constitutes acceptance of the updated terms. 12. Governing Law These Vendor Terms shall be governed by and interpreted in accordance with the laws of India. 13.
